Mar 2008

In this newsletter, we look at the following topic:

Business Combinations Phase II - Frequently asked questions

This issue is focused on the more challenging aspects of Business Combinations Phase II (IFRS 3R on business combinations and IAS 27R on consolidated and separate financial statements, both published as of 10 January 2008).  These follow the presentation of Business Combinations Phase II published in the January 2008 issue HKFRS News.

The frequently asked questions address the following concerns:

  • Day one accounting: Is it true that some business combinations will result in gains in the income statement?  Does the type of consideration affect how much goodwill is recognised?  How is goodwill measured?

  • Transactions that could arise after the business combination, for example, transactions with non-controlling interests and the accounting treatment of a partial sale of a subsidiary with a change in control.
